NDA Text NON-DISCLOSURE AGREEMENT This Non-Disclosure Agreement ("Agreement") is entered into between [Disclosing Party] and [Receiving Party] on the date shown below. The Receiving Party agrees not to disclose any confidential information, materials, or trade secrets provided by the Disclosing Party. Confidential information includes but is not limited to business plans, financial statements, products, customer lists, technical data, and marketing strategies. 1. Purpose: The Receiving Party shall use Confidential Information solely for the purpose of evaluating or performing work under the existing business relationship. 2. Confidentiality: The Receiving Party will maintain confidentiality and will not disclose Confidential Information to any third party except as required by law. 3. Term: The obligations of confidentiality remain in effect for a period of five (5) years following disclosure. 4. Return of Materials: All Confidential Information and any copies shall be returned or destroyed upon request of the Disclosing Party.
